The Director of Legal, reporting to the VP of Finance, is one who is organized and detail-oriented, can multi-task and manage shifting priorities, and who can offer exceptional legal services to colleagues and senior management. The position will serve as a key member of the management team.
This position will provide legal support to all Americas business units and will be responsible for providing legal services relating to all aspects of the business and working on a variety of legal matters, including commercial contract drafting and negotiating, vendor agreements, and a range of other contracts.
All work will require a "business" as well as a "legal" approach, requiring competencies in negotiation, structuring deals, validation of terms against commercial and industry norms, project management, and team leading that is broader than documenting the legal terms of an already agreed upon deal. The successful candidate will demonstrate capabilities in anticipating legal issues, accepting and effectively resolving sensitive topics and handling difficult situations diplomatically.
What You’ll Be Doing
Ø Provide general legal support and advice to all departments in a fast-paced, technology-based business environment.
Ø Understand business needs and goals, identify legal issues and hurdles, realize solutions and alternatives, and counsel and communicate with executives and managers concerning the legal risks, solutions, and alternatives.
Ø Draft, review, and negotiate complex strategic contracts impacting all areas of the business, including customer facing contracts, supplier and partner agreements, leases and other agreements.
Ø Manage all company contracts.
Ø Interface directly with and manage outside counsel.
Ø Commercial contract drafting and negotiating in a customer facing role (RFP’s and partnership agreements, supplier agreement, real estate)
Ø Intellectual property protection and licensing
Ø Coordination of legal secretary with Legal Corp in Paris (shareholder’s meetings, Board’s decision) for 5 subsidiaries’ in Americas.
Ø M&A, joint ventures and other corporate transactions
Ø Data protection compliance
Ø Litigation management
Corporate filings & compliance
Ø 6-8 years relevant legal experience with a combination of skills gained in an international law firm or multinational business
Ø Experience handling customer facing transactions and supporting multiple internal sales clients.
Ø Excellent ability to analyze and solve problems.
Ø Commercial negotiation and drafting ability.
Ø Must be proactive with excellent follow-through on tasks.
Ø Must have strong verbal and written communication skills, organizational skills and attention to detail, flexibility and adaptability to shifting priorities and deadlines, and be confident and capable of working with both technology and business contacts in a continuously evolving environment.
Ø Exceptional interpersonal skills.
Ø Must possess a high degree of integrity.
Ø Tech/Software or related industries experience with SaaS and software licensing experience required
Ø Data security / privacy experience desired
Ø Must have excellent communication, interpersonal and influencing skills
Ø Ability to prioritize multiple projects
Ø M & A experience is a plus
Ø Bilingual in English / Spanish
Ø J.D. from an accredited law school and active membership and good standing with at least one state bar required (Georgia preferred).
