General Responsibility and Objective

The Senior Corporate Counsel reports to the Chief Financial Officer and will support the North America Organization in all legal matters pertaining to its business. Senior Corporate Counsel will work closely with BEUMER Corporation subsidiaries, BEUMER Group Holding, as well as suppliers and customers in jurisdictions throughout North America.  As both a business and legal advisor, Senior Corporate Counsel will endeavor to ensure that the organization is in compliance with all applicable laws and protects the legal rights of the corporation from abuse by others. Critical to success in this role is that Senior Corporate Counsel fully understand the complexities of BEUMER's business as well as those of the diverse industries we serve.  Senior Corporate Counsel will be asked to provide input on complicated business questions, on potential acquisitions, and on the strategic planning of the company’s business.

Job Description

Responsibilities:

  • Drafts, reviews, and negotiates equipment, purchase and sale agreements, non-disclosure agreements and other contracts.
  • In partnership with BEUMER Corporation's executive management team and other senior leaders, regularly negotiates with Customers and Suppliers
  • Ensures compliance with legal, contractual, and risk management policies to minimize and limit corporate liability, manage risk, and optimize value of such contracts.
  • Recommends alternative actions with respect to such contracts as required to conform to corporate policies and strategies.
  • Coordinates with and oversees the work of outside counsel related to all legal matters
  • Oversees compliance with applicable statues and regulations, reviews pertinent laws and regulations, and provides legal advice to all company departments and staff.
  • Coordinates responses to subpoenas and other legal requests
  • Provides legal advice on any suits brought by or against BEUMER Corporation.  Oversees all litigation matters and works with outside law firm attorneys preparing and defending the company from suits
  • Draft letters and correspondences on behalf of BEUMER Corporation
  • Coordinates Legal matters, standards, processes and procedures with BEUMER Group legal counsel.
  • Acts as a legal consultant for BEUMER Group as directed in any legal matters, mediations, arbitrations, and hearings.
  • Supports all other BEUMER North America subsidiaries on legal matters affecting BEUMER.
  • Provides/supports People & Culture senior leadership with review/advice/drafts of internal employment documents including, but not limited to:
    • NDA Agreements – (Non-competition, Proprietary Information, Patent and Invention Assignments)
    • Severance Agreements
    • Offer of Employment
    • Expat Contracts
    • Employee Handbook
    • Lease/Housing Agreements, etc.
    • Any other duties that shall be assigned.

Qualifications

Requirements/Skills and Abilities:

The successful candidate will possess:

  • Strong academic credentials from a top-tier, ABA-accredited law school.  The successful candidate must be admitted to, and be active in good standing in, the New Jersey state bar. If not a member of the New Jersey state bar, the successful candidate must hold in good standing an active in-house corporate counsel license for the state of New Jersey.
  • Seven (7) to 10+ years of transactional experience in contract negotiation, with experience gained in a major national or international law firm and/or a multi-national corporation.  
  • Excellent written and oral communication skills. Strong organizational, problem-solving, and analytical skills. Ability to read, analyze, and interpret the most complex documents. Ability to respond effectively to the most sensitive inquires or complaints.
  • Ability to work with all levels of management.
  • Ability to manage priorities and workflow. Versatility, flexibility, and a willingness to work within constantly changing priorities with enthusiasm.
  • Ability to work on complex projects with general direction and minimal guidance. Ability to work independently and as a member of various teams and committees.
  • Ability to Travel, as necessary

  • Active taking of leadership roles where appropriate and possible. Demonstrable experience of this.
