Job Description

The purpose of this role is to support the Legal and Governance department and the wider
business, with timely advice and assistance on all matters of a legal nature including drafting commercial contracting, negotiating and dispute resolution, legal and regulatory compliance.

Contract Administration

  • Prepares contract documentation.

  • Ensures all contracts are current, up to date and easily accessible

  • Assumes responsibility for end to end contract administration

  • Ensures accuracy and completeness of all contracts ,from schedule preparation,
    discussion with management right through to contract renewal and service
    confirmation

  • Ensures legal contracts and other documentation are prepared for signature and follow
    up to completion and sign-off by appropriate parties

  • Ensures all relevant administration is maintained including scanning of all contracts
    onto the server, applicable access rights are applied and secure filing

  • Liaises with vendors/contractors, clients and their legal advisors where and when necessary
    to conclude contracts, escalating those issues beyond authority levels

  • Maintains and updates the Know?

  • Provides regular reporting on contract status and risks

 Legal Counsel Provision

  • Develops and manages standard terms and conditions for the Region to ensure consistency of commercial, legal and risk management across the region

  • Provides recommendations and support for client engagements and negotiations

  • Represents the BU and lines of business in litigation matters

  • Briefs external legal counsel

Analysis

  • Analyses vendor and client issued contracts to ensure they are in line with business
    requirements within all relevant commercial policies and are legally sound
    whilst highlighting any potential risks to the business

  • Researches and analyses the implications of business case law, legislation and regulatory
    matters that affect the company and provide feedback to the Head of Legal and
    Governance

Compliance

  • Acts as counsel on issues involving company compliance with governmental and
    regulatory standards

  • Assumes accountability for accurate and sound interpretation of contract law to ensure short-and long-term mitigation of risk.

  • Implements business processes regarding best operating practices/procedures within the
    Department

People Management

  • Ensures the development of key capability to deliver departmental objectives

  • Recruits and manages direct reports to ensure the Merchants brand remains the employer
    of choice

  • Provides guidance and support to direct reports to ensure a culture of transparency
    and collaboration

  • Identifies strengths and areas for development in direct resources to ensure appropriate
    allocation of tasks

  • Establishes, manages and measures achievable, specific and realistic goals for direct
    reports

  • Ensures direct reports receive opportunities for development

Qualifications

  • A relevant Contract Law degree.

  • A specialist in Contract Law within the BPO and ICT space.

  • At least 5 years’ working experience in commercial contracts, drafting, reviewing
    and managing.

  • People management experience.

  • Knowledge of MS Office Suite (Word. PowerPoint and Excel.

  • Understand the need for process and systems and comply with them.

  • Ability to grasp complex areas of law rapidly and accurately
