Job Description

Square is seeking a highly motivated attorney with a passion for all things compensation to join our legal organization.

You will:

  • Provide advice and counsel to the People team and other cross-functional stakeholders regarding benefits plans and compensation programs, including legal requirements for health benefits, wellness programs, perks, leave of absence, 401K, retirement, deferred compensation, and severance/executive severance, and the governance, interpretation and application of such plans, including appeals of benefits decisions

  • Provide advice and counsel on legal requirements for stock administration, including updates to equity award agreements and granting equity outside the U.S

  • Manage compliance for 10b5-1 programs, facilitate stock transfers and assist with Section 16 filings

  • Evaluate and advise on benefit and compensation practices, policies, and processes to assess and execute priorities, and ensure compliance

  • Draft and review plan documents, summary plan descriptions, and employee communications, and assist with reporting

  • Provide guidance on compensation and benefits matters relating to M&A transactions

  • Provide guidance on executive compensation and separation including, Internal Revenue Code (IRC) 409A issues

  • Draft and review incentive compensation plans and templates

  • Monitor legislation, regulations, case law, and government enforcement activities relating to benefits, executive compensation and disclosure matters, and assist with implementation and ongoing compliance with any new requirements

  • Collaborate with cross-functional stakeholders and manage projects with a team-oriented approach

Qualifications

You have:

  • Minimum 7-10 years of relevant experience at a major law firm, with prior public company in-house experience preferred

  • International experience is a plus

  • Subject matter expertise in Employee Retirement Income Security Act (ERISA), Health Insurance Portability and Accountability Act (HIPAA), and Patient Protection and Affordable Care Act (PPACA)

  • Subject matter expertise in executive compensation and governance matters

  • Knowledge of relevant tax laws, including IRC 409A and 162m

  • Ability to work effectively and collaboratively within a growing legal team and cross-functionally

  • Strong interpersonal skills, team-oriented attitude, and superior attention to detail

  • Ability to evaluate risk in light of business and practical considerations and make clear recommendations

  • Ability to balance and prioritize multiple time-sensitive tasks effectively and independently

  • J.D. degree and licensed to practice in California
