Job Description

Square is seeking an exceptional corporate counsel that will be primarily responsible for supporting the company’s corporate development efforts. You will play a key role in supporting the company’s M&A and other corporate development activities, including the due diligence process. The corporate counsel will also help support other general corporate matters. As we expand our offerings, your ideas and contributions will make an immediate impact. A creative legal mind, an extreme attention to detail, and a sense of adventure are all required.

You will:

  • Assist with mergers and acquisitions in all stages of acquisitions, from performing due diligence, drafting and negotiating definitive documentation, closing transactions to post-closing integration

  • Draft and assist with the preparation of board and committee meeting materials

  • Work on international and domestic subsidiary governance

  • Assist with special corporate projects

  • Work closely with our internal business and compliance teams, as well as with external advisors and experts

  • Manage projects effectively, with a team-oriented approach

Qualifications

You have:

  • 5+ years of relevant corporate experience at a major law firm, with significant experience working with large companies

  • A combination of both in-house and law firm practice experience is preferred, primarily in M&A

  • Excellent negotiation and drafting skills

  • Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions

  • J.D. degree

  • Membership in at least one state bar (preferably California)

  • Superior interpersonal skills and team-first attitude

  • Sound and practical business judgment

  • Strong decision-making abilities and attention to detail, sometimes under time pressure
