Job Description

Square is looking for a corporate and securities counsel who will support all aspects of our public company obligations and our capital markets offerings. As we expand our business, your ideas and contributions will make an immediate impact. We are looking for someone with a creative legal mind, attention to detail, curiosity, and a desire to tackle new and exciting challenges. You will report into Corporate Securities Counsel Lead. 

We are open to having someone work from the Bay Area, New York or remote.

You will:

  • Work collaboratively to prioritize goals and manage the legal aspects of being a public company

  • Work on SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, and Section 16 filings

  • Draft and negotiate agreements in connection with capital markets offerings and work with Treasury and Finance teams in managing debt and equity offerings

  • Work with Square's Finance, Accounting, Investor Relations, and Communications teams on external disclosures, such as earnings releases and press releases

  • Administer Square's Insider Trading Policy and 10b5-1 plans

  • Ensure compliance with SEC and NYSE rules and regulations

  • Help with 1940 Act matters

  • Help process and diligence Square Crypto grants

  • Ensure compliance with our credit facility and lines of credit

  • Work cross functionally to move our environmental, social, and governance (ESG) matters forward

  • Help with special corporate projects

Qualifications

You have:

  • 5+ years of relevant securities experience, including experience working with large public technology companies

  • A combination of both in-house and major law firm practice experience is preferred

  • In-depth substantive expertise of the securities laws and the 1933 and 1934 Acts

  • Experience managing debt and equity capital markets offerings

  • High ethical standards and ability to maintain the confidentiality of non-public corporate information

  • Membership in at least one state bar (preferably California or New York)
