Job Description

As Paralegal in the Tax Counsel team, you’ll support the Tax Counsel team in the preparation, review, execution and maintenance of various intercompany agreements and third party commercial contracts from a tax perspective.  You will have primary responsibility for the preliminary drafting of intercompany agreements and for the review and drafting of tax aspects of commercial agreements, for review by Tax Counsel. You will be responsible for developing, deploying and maintaining a database of global Block intercompany agreements. You will work closely and proactively within the Tax Counsel team and other tax and counsel teams across our organization, including International Tax, Transfer Pricing, M&A, IP Counsel, Commercial Counsel and Corporate Governance. You will support the Tax Counsel team with research on various legal and tax matters in a broad range of areas, including tax controversy, U.S. and international direct and indirect tax, transfer pricing, information reporting and M&A.  You will also help support our expansion into new markets and offering of new products by working closely with business partners to gather and document facts and transaction flows key to the performance of critical tax analysis by the Tax Counsel, Tax and Counsel teams.

You will:

  • Assist with tax planning efforts to support global expansion and product launches across Block’s business lines.

  • Perform technical research and analysis on U.S. state, federal and international tax topics, including direct and indirect tax, M&A, tax accounting and product-related tax matters.

  • Support tax controversy matters, including tax exams and litigation.

  • Assist with research and preparation of memoranda to document technical positions for planning and provision purposes.

  • Support Block’s business lines from a tax perspective, including Square, Cash App, Spiral, TBD and Tidal.

  • Review and summarize tax aspects of third party agreements, including strategic partner and vendor arrangements, for review by Tax Counsel.

  • Review and draft intercompany agreements, for review by Tax Counsel, and manage the execution process, including coordinating the collection of signatures and filing of executed agreements.

  • Support tax information reporting matters.

  • Assist with special projects, including restructurings, financings, and other operational changes.

  • Monitor tax rule changes, perform analyses and communicate the potential impact to Block tax and legal teams.

  • Work with our internal product, business, tax, accounting and compliance teams, as well as with external advisors on a broad range of tax planning, reporting, compliance, planning, analysis and documentation efforts.

  • Develop, improve upon and document tax-related processes.

  • Manage projects with a team-oriented approach.

This role can sit in any of Block's U.S. offices, or be full-time remote from the continental United States.

Qualifications

You have:

  • 5+ years of relevant paralegal experience with multinational law firm or company.

  • B.S. or B.A. and paralegal certification or equivalent experience.

  • Fluency in translating legal concepts into applicable guidance for product, tax, finance and other teams.

  • Clear and concise verbal and written communication skills.

  • Ability to work under pressure with competing priorities and collaborate with a variety of stakeholders.

  • Significant project management and oversight experience in simultaneous workstreams.

  • Microsoft Office Suite, Adobe, Google Suite, and other software experience.

  • Extensive document management, file management, and calendaring experience. 

  • Excellent professional references.

  • Tax experience a plus, but not required.

Additional Information

Block takes a market-based approach to pay, and pay may vary depending on your location. U.S. locations are categorized into one of four zones based on a cost of labor index for that geographic area. The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. These ranges may be modified in the future.

Zone A: USD $125,600 - USD $153,600
Zone B: USD $116,800 - USD $142,800
Zone C: USD $110,500 - USD $135,100
Zone D: USD $100,500 - USD $122,900

This role is also eligible to participate in Block's equity plan subject to the terms of the applicable plans and policies, and may be eligible for a sign-on bonus.
