Job Description

Block is seeking an attorney to help manage U.S. corporate governance matters. If hired, you will help support Block, Inc. and domestic subsidiary governance, including coordinating and preparing for board meetings and approvals and managing governance requirements for our domestic regulatory licenses. You will report into Block’s Governance Lead and this is a great opportunity to join the Block legal team and work on a variety of cutting-edge legal issues.  If you’re a bit of a nerd about governance and looking to work on a fun, collaborative team, we’d love to speak with you!

You Will:

  • Assist with corporate governance matters, including the preparation of board materials and policies, with an emphasis on U.S. public company governance matters.
  • Support Block, Inc. (parent company) and subsidiary governance, including board meetings, state filings, resolutions and consents.
  • Work with Block’s People and Equity teams on Block’s equity plans and ESPP.
  • Liaise and coordinate with product counsel and regulatory counsel to ensure compliance with governance requirements under our regulatory licenses in the U.S.
  • Assist with shareholder engagement, including Q&A preparation.
  • Assist with ESG-related matters, including the CSR Report and non-U.S. reporting.
  • Work with our internal business, regulatory, tax, accounting and compliance teams, as well as with external advisors and experts.
  • Assist with D&O questionnaires, related party transactions and conflicts of interest matters for directors and officers.
  • Conduct legal research on a variety of complex corporate governance issues.
  • Assist with special corporate projects, including capital markets transactions and M&A.
  • Work collaboratively to prioritize business objectives and support the corporate aspects of being a public company.
  • Manage projects with a team-oriented approach.

Qualifications

You Have:

  • 7+ years of relevant corporate experience at a major law firm and/or in-house experience, with experience working for a large public company being a plus.
  • A combination of both in-house and law firm practice experience is preferred
  • Familiarity with NYSE/SEC corporate governance requirements
  • Excellent research and writing skills and project management ability
  • Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous matters
  • J.D. degree
  • Membership in at least one state bar
  • The ability to effectively collaborate with large, cross functional teams
  • The ability to manage projects effectively, with a team-oriented approach
  • Sound and practical business judgment
  • Strong decision-making abilities and attention to detail, sometimes under time pressure

Additional Information

Block takes a market-based approach to pay, and pay may vary depending on your location. U.S locations are categorized into one of four zones based on a cost of labor index for that geographic area. The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. These ranges may be modified in the future.

Zone A: USD $217,800 - USD $326,800
Zone B: USD $202,600 - USD $303,800
Zone C: USD $191,700 - USD $287,500
Zone D: USD $185,200 - USD $277,800
