Company Description

Contract Management is a business essential function responsible for the management of all sales agreements over the end-to-end client incentive process.

The Senior Contract Specialist will be a subject matter expert on client agreements and will partner with various stakeholders at both Visa and Clients in developing and managing legally binding agreements and contracts from approved financial proposals.

This person will be an advocate for the Visa’s sales organisation (e.g., Financial Institution Sales, and Merchant Acceptance) while working closely with Finance, Legal and Audit.

The role holder will report to the Lead Contract Specialist.

Job Description

This position requires direct and indirect involvement with the various stakeholders throughout the Europe region in developing and managing legally binding agreements and contracts for approved business cases. The individual will work closely with the Account Executives, Business Units, Finance, Legal and Tax teams.

The role will require the candidate to be able to manage the following:

  • Contract development, contract approval coordination, contract file and database management, recurring and ad hoc reporting, etc.

  • Facilitate and participate in contract negotiations with internal partners and external parties

  • Document contract changes from initial draft through final execution

  • Distribute contracts (pre and post signature) to appropriate parties

  • Liaise with sales, finance, legal, and audit, to ensure contracts are developed and approved promptly

  • Maintain records and documents associated with the contracts

  • Lead on related negotiations with stakeholders to ensure Visa’s legal position on important clauses is preserved and standard frameworks respected

Participate in special assignments and provide ad hoc support and reporting as required.

The role holder will report to the Lead Contract Specialist.

Qualifications

  • Law degree or Bachelor’s in a business, economics, or related field.

  • Previous commercial/contract drafting experience required

  • Ability to work well with management and leaders across various functions throughout Visa

  • Excellent written and verbal communication skills in English

  • Manages well under pressure and tight deadlines

  • Strong attention to detail and ability to multi-task and manage multiple caseloads

  • Proven ability to work independently

 

Additional Information

What we expect of you, day to day.

  • You will manage the drafting, reviews and negotiation on a wide range of client agreements including but not limited to:

    • Issuer agreements

    • Acquirer agreements

    • Merchant agreements

  • Identifying IFR, competition and other regulatory issues relating to client agreements, you will take the lead to ensure resolution and where necessary engage with members of the Legal and Regulatory Division

  • You will identify the need for legal advice and engage appropriate members of the Legal team on a range of legal issues regarding client agreements

  • Working with other Visa departments across the globe, you will ensure agreements accurately reflect business needs and policies as they develop

  • You will be responsible for management of day-to-day client agreement queries taking the lead on all relevant contract management activities

  • You will manage, develop and maintain relationships to facilitate the effective delivery of legal advice and assistance

  • Providing training to identified business areas, on agreement structures, processes and policies

  • You will proactively contribute to the development of client agreement templates ensuring cohesion, consistency in clauses, and the general efficiency and effectiveness of the whole agreement
