Job Description

  • Supports the Legal Department’s Sourcing Transactions Legal Group through engaging in the direct negotiation, drafting, establishment and administration of SaaS, IaaS, PaaS, hardware, software, facilities, corporate procurement, marketing, consulting, collaboration and non-disclosure agreements.
  • Reviews, revises and approves non-disclosure agreements for the protection of the company's confidential information and intellectual property in adherence to company policy.
  • Lead negotiations on legal terms directly with a vendor’s legal counsel, supporting Visa’s positions ensuring mitigation of risk for Visa.
  • Efficiently creates effective redlines for sourcing contracts outlining key risk points. 
  • Collaborates with business units, the sourcing department and legal department to ask the right questions that will collect vital facts needed to evaluate potential legal risk of engaging with contemplated partners and suppliers for potential purchases or development of products by business units.
  • Advises business unit management of contractual rights and obligations and provides interpretation of terms and conditions in existing agreements.
  • Collaborates with Sourcing Team in creating contract templates and supporting documents. 
  • Plans and carries out recurring work using established procedures, conferring with supervising attorney as necessary on legal issues.
  • Analyzes, advises on and approves or rejects internal and/or external requests for deviations from contract specifications.
  • Creates training content and leads training sessions for key stakeholders on key legal provisions.                
  • May assist and/or provide input into the formulation, development, and/or revision of operating policies, procedures, and strategies for the organization, as appropriate.
  • Performs miscellaneous job-related duties as assigned.

  • Excels under pressure and can adhere to strict deadlines.

  • Proficient in creative problem solving.

 

Critical Skills:

  • Demonstration of key leadership skills including negotiation, moderation, and communication. 
  • Experienced in contract negotiation, formation and preparation, and in the review of and drafting of contract fallback language.
  • Experienced in public speaking.  Needs to be able to speak ad hoc effectively. 
  • Ability to identify key risk areas in a contract.
  • Working knowledge of intellectual property law, Privacy/Security legal provisions, the Uniform Commercial Code, CISG, and INCOTERMS.
  • Proficient in Microsoft Office products including Word, Excel, Teams, and PowerPoint.

Qualifications

Minimum Qualifications:

  • Bachelor’s degree in finance, business administration or related field, or equivalent number of years of contracting experience.
  • At least five full years of experience in high technology transactions, which includes the drafting of complex agreements, including non-disclosure agreements and related documents, and demonstrated ease in negotiating high technology transactions with vendors. Possession of a directly related post-graduate degree may be substituted for one of the two years of required experience.
  • Must have a legal or permanent right to work in the US without requiring sponsorship.

 

Preferred Qualifications:

  • Prior coursework in contract drafting and negotiation.
  • Sufficient experience in contract drafting and negotiation to be able to comfortably draft and negotiate agreements with vendors without only light supervision.
  • Sourcing/Procurement experience a plus.  
  • Juris Doctor degree a plus.

Travel Requirements:

  • This position requires travel 5-10% of the time.

Mental/Physical Requirements:

  • This position will be performed in an office setting.  The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers, reach with hands and arms, and bend or lift up to 25 pounds.
