Job Description

 

  • Primary lawyer working closely with the Strategic/Digital Partnership team on commercial and strategic alliance incentive agreements originating in North America
  • Coordinate closely with the global deal team regarding the legal review and approval of Strategic/Digital Partnership incentive deals that extend to multiple Visa regions
  • Collaborate with legal colleagues in other Visa regions regarding the contract and negotiation process for global incentive deals
  • Work closely with global deal team to help find ways to streamline the end-to-end global deal process
  • Provide day-to-day legal support to senior account executives and senior leaders on the cobrand, emerging payments/solutions, and fintech teams in connection with client incentive deals
  • Draft, review, and negotiate a range of complex commercial incentive agreements including with some of Visa’s most valued strategic partners     
  • Conduct trainings for internal team and clients on contract template structures and negotiating strategies
  • Review and approve on behalf of legal presentations and other written external client-facing materials
  • Work closely with other non-legal functions at Visa, particularly those that are involved in Visa’s complex incentive agreements (e.g., Finance, Strategy, Tax, etc.)
  • Continue to work to improve internal procedures within the legal department and the contract administration process

Qualifications

Basic Qualifications:

  • Juris Doctorate degree 
  • 12+ years of legal experience covering drafting and negotiating commercial and licensing agreements for technology platforms, including experience in the payments as lead associate
  • Licensed to practice law in US or eligible for Registered in-house counsel

Preferred Qualifications:

  • Prior in-house experience preferred but not required
  • Extensive experience drafting and negotiating complex commercial arrangements, including strategic alliance and other incentives agreements
  • In-depth knowledge of payment service industry required, and experience in payments, banking, corporate and/or commercial law preferred
  • Experience working with in-house sales teams and advising product teams
  • General knowledge of privacy/data, IP and financial protection laws
  • Demonstrated ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits
  • Strong people skills with proven ability to build strong working relationships with internal clients at all levels of management and work on cross-functional teams on complex deals
  • Practical and proactive problem-solver; confident, mature, calm under fire, with a positive attitude
  • Exceptional analytical ability and advocacy skills, and excellent written, oral communication and negotiation skills
  • Strong work ethic for a fast-paced environment with ability to work independently with limited day-to-day oversight

Travel Requirements:

  • This position requires travel 5-10% of the time.

Mental/Physical Requirements:

  • This position will be performed in an office setting.  The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers, reach with hands and arms, and bend or lift up to 25 pounds.
