Job Description

The Senior Director, Mergers and Acquisitions and Corporate Consolidations is based in Foster City, CA, and is responsible for all Controllership-related M&A activities, and global financial statement consolidation. This position reports to the Vice President M&A Controller based in Foster City, CA and will have one direct report. This newly created role will be responsible for:

Controllership M&A Activity:  The Senior Director will be responsible for all Controllership-related M&A activities, most significantly:

  • Financial due diligence most importantly the evaluation of the integrity and accuracy of the financial statements/information of the target entities; accessing the quality of its finance function and internal controls; identifying potential financial accounting risks; preparing preliminary purchase accounting and signing off on the accuracy of the financial accounting underlying the forecasted cash flow analysis prepared to support the ultimate valuation of the target companies. Please note that the Senior Director is NOT responsible for preparing the valuation of target companies.

  • Purchase Accounting and technical accounting projects: The Senior Director is responsible for all technical accounting and valuation aspects of applying purchase accounting to record completed transactions in Visa’s financial results. This candidate is expected to be proficient with the following accounting standards ASC 350 (Intangibles and Goodwill), ASC 470 (Debt), ASC 606 (Revenue from Contracts with Customers), ASC 805 (Business Combinations), ASC 815 (Derivatives and Hedging), ASC 830 (Foreign Currency Matters). This candidate will leverage valuation firms, when necessary, to value acquired assets and liabilities; resolving all technical issues; coordinating auditor review, if necessary; and overseeing the execution of initial and ongoing accounting operations. The Senior Director will also work on additional technical accounting projects as necessary to support technical accounting team in times of surge of technical accounting projects. 

  • M&A Accounting- The Senior Director will be responsible for the Day 1 accounting of the opening balance sheet of the acquired entity and the ongoing consolidation of the acquired entity financials with Visa until full integration. 

  • Integration: The Senior Director will work with the Finance integration program management office (PMO) for integration of accounting and financial reporting operations into Visa’s operations to ensure accuracy and timeliness of financial reporting which involves collaborating with the Finance Integration PMO to develop a integration plan and executing upon that plan to integrate financial systems and platforms.          

Global Financial Statement Consolidation: The Senior Director will be responsible for the monthly execution of Visa’s global financial statement consolidation, which generates Visa’s consolidated financial results, reported publically each quarter.  The Senior Director will be responsible for the completeness and accuracy of the consolidation, including consolidation of acquired entities, strategic investments and other activity not currently administered through Visa’s Oracle general ledger system. 

Qualifications

Basic:

  • 12 or more years of work experience with a Bachelor’s Degree or at least 10 years of work experience with an Advanced degree (e.g. Masters/MBA /JD/MD); or a minimum of 5 years of work experience with a PhD

Preferred:

  • Bachelor’s degree in Finance/Accounting/related field

  • 12+ years of experience managing teams and major strategic projects within a large, publicly traded corporation or in a Big 4 public accounting firm

  • 5+ years of Big 4 Accounting Firm experience focused on developing strong technical accounting acumen specifically in revenue and general accounting areas

  • Strong foundation of M&A experience (either on the corporate or public accounting side) with numerous deals diligence executed

  • Exceptionally strong communicator equally adept at communications strategy and execution, with the ability to anticipate executive needs and support preparation of executive presentations.

  • Welcomes challenging/complex projects and demonstrates self as a change agent with an ability for working "smarter not harder" by making continuous improvement to the efficiency of processes he/she contributes to
  • Teamwork is essential to the group, so it is critical that the candidate interact with other team members and managers collaboratively and effectively

  • Experience in designing, structuring and implementing new operational policies and processes in support of new operational structures or challenges

  • Strong organizational skills and the demonstrated ability to manage numerous projects/deliverables simultaneously against set deadlines

  • Ability to work collaboratively with others in a high stress, fast paced environment.

  • Global Consolidation experience preferred but not required

Work Hours:

  • Incumbent must make themselves available during core business hours

Travel Requirements:

  • This position requires the incumbent to travel for work 0-30% of the time.

Mental/Physical Requirements:

  • This position will be performed in an office setting.  The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers, reach with hands and arms, and bend or lift up to 25 pounds
